This software and associated documentation files (the "Software") are proprietary to Eveara Music Limited and are protected by copyright law and international treaty provisions.

EVEARA MUSIC INFRASTRUCTURE

OFFICIAL REGISTRATIONS & CERTIFICATIONS

WHITE LABEL LICENSING TERMS

Eveara Music Limited offers white label licensing of its platform and technology to approved business clients ("White Label Licensees"). The following terms apply exclusively to white label licence agreements and are in addition to all other terms set out in this document.

Permitted Use

• BRANDING

  White Label Licensees may apply their own brand identity — including logo, colour scheme, and domain name — to the licensed platform interface. All customer-facing branding may be fully customised by the Licensee.

• DEPLOYMENT

  Licensees may deploy the white label platform to serve their own end-user customers (artists, bands, and companies) through the Licensee's own branded channels, subject to the terms of their signed Master Service Agreement (MSA) with Eveara Music Limited.

Restrictions

• INTELLECTUAL PROPERTY RETENTION

  All underlying technology, source code, platform architecture, database schema, AI models, and software comprising the Eveara Music platform remain the exclusive intellectual property of Eveara Music Limited, regardless of any customisation, configuration, or branding applied by the Licensee.

• NO SUB-LICENSING

  White Label Licensees may not sub-license, resell, transfer, assign, or otherwise grant rights to the Eveara Music platform or any component thereof to any third party without the express prior written consent of Eveara Music Limited.

• BACK-END ATTRIBUTION

  Licensees must not remove, obscure, or alter any Eveara Music attribution, copyright notices, or proprietary markings present within the platform's administrative interface, source files, or documentation.

• PROHIBITED MODIFICATIONS

  Licensees may not modify, reverse engineer, decompile, or attempt to extract the source code of the licensed platform. Permitted customisations are limited to those expressly agreed in writing with Eveara Music Limited.

• COMPETITIVE USE

  Licensees may not use the white label platform, or knowledge gained from access to it, to build, develop, or contribute to a competing music technology platform or service.

Termination of White Label Licence

Eveara Music Limited reserves the right to terminate any white label licence agreement immediately upon written notice in the event of a material breach of these terms, non-payment of licence fees, insolvency of the Licensee, or any use of the platform that brings Eveara Music Limited into disrepute. Upon termination, the Licensee must immediately cease all use of the platform and destroy any copies of proprietary materials in their possession.

COPYRIGHT REGISTRATION SERVICE — DISCLAIMER

Eveara Music Limited provides a Copyright Registration Service ("the Service") that generates official certificates of registration and seals uploaded files as timestamped evidence of creative works. The following disclaimer applies to all users of this Service.

• NATURE OF REGISTRATION

  Eveara Music's copyright registration is an evidence-based registration service. It creates a timestamped, sealed record of your work and generates an official Certificate of Registration. It is not a government copyright grant. Copyright in original works arises automatically under the Copyright, Designs and Patents Act 1988 (UK) and equivalent legislation in other jurisdictions — registration with Eveara Music provides supporting legal evidence of that pre-existing right.

• LEGAL COVERAGE

  Registered works are covered under the laws of England and Wales and the Universal Copyright Convention (UCC). ISP (Internet Service Provider) obligations under applicable law are also engaged. Coverage under additional international treaties may vary by jurisdiction and Eveara Music does not guarantee enforceability in any specific territory.

• NO GUARANTEE OF OUTCOME

  Eveara Music Limited does not guarantee the outcome of any legal dispute, copyright claim, infringement action, or enforcement proceeding arising from or relating to a registered work. The certificate constitutes evidence only — the determination of any legal right remains with the relevant courts or authorities.

• REGISTRANT RESPONSIBILITY

  The registrant warrants that they are the lawful owner or authorised representative of the work being registered, and that registration does not infringe the rights of any third party. Eveara Music Limited accepts no liability for false, fraudulent, or unauthorised registrations.

• CERTIFICATE VALIDITY

  Certificates are issued for either five (5) years or ten (10) years from the date of registration, as selected by the registrant. Upon expiry, the registration lapses and a new registration must be obtained to maintain an active certificate on record.

• FILE SEALING

  Uploaded files are sealed and stored as evidence at the exact point in time of registration. Eveara Music Limited takes reasonable technical precautions to preserve the integrity of sealed files but does not warrant against data loss arising from circumstances beyond its reasonable control.

API USAGE TERMS

Eveara Music Limited provides programmatic access to certain platform services via application programming interfaces ("APIs"), including but not limited to the Distribution API, Stem Separation API, and Copyright Registration API. Use of any Eveara Music API is subject to the following terms.

• AUTHORISED USE

  API access is granted solely for the purposes agreed in the applicable licence or service agreement between the API user and Eveara Music Limited. All API calls must be authenticated using credentials issued by Eveara Music Limited.

• PROHIBITED API USES

  You may not use the Eveara Music API to:

  • Scrape, harvest, or systematically extract data from the platform beyond what is required for the agreed purpose
  • Resell, repackage, or commercially redistribute API responses or data to third parties without written consent
  • Reverse engineer, decompile, or attempt to derive source code or proprietary algorithms from API responses
  • Circumvent rate limits, authentication mechanisms, or access controls
  • Use the API in any manner that could damage, disable, overburden, or impair Eveara Music's infrastructure
  • Transmit malicious code, viruses, or any harmful data through the API
• RATE LIMITS

  API usage is subject to rate limits as specified in the applicable service agreement or as communicated by Eveara Music Limited. Exceeding rate limits may result in temporary suspension of API access. Persistent abuse may result in permanent revocation.

• API KEY CONFIDENTIALITY

  API credentials (keys, tokens, client secrets) issued to you are confidential. You must not share, publish, embed in publicly accessible code, or otherwise disclose your API credentials to any third party. You are responsible for all API usage made under your credentials.

• SERVICE AVAILABILITY

  Eveara Music Limited will use reasonable endeavours to maintain API availability but does not guarantee uninterrupted access. Scheduled maintenance, updates, or circumstances beyond Eveara Music Limited's control may result in temporary unavailability. Eveara Music Limited accepts no liability for losses arising from API downtime.

• CHANGES TO API

  Eveara Music Limited reserves the right to modify, deprecate, or discontinue API endpoints with reasonable notice. Where possible, a minimum of 30 days' notice will be provided before breaking changes are introduced.

ACCEPTABLE USE POLICY

This Acceptable Use Policy applies to all licensees, white label partners, API users, and any party granted access to Eveara Music Limited's software, platform, or services under any form of licence agreement.

• LAWFUL USE ONLY

  You must use the licensed software and services solely for lawful purposes and in compliance with all applicable laws, regulations, and industry standards in your jurisdiction.

• NO FRAUDULENT ACTIVITY

  You must not use the platform to commit fraud, misrepresent ownership of content, register works you do not own, generate false royalty claims, or engage in any activity intended to deceive Eveara Music Limited, collection societies, streaming platforms, or end users.

• CONTENT STANDARDS

  You must not distribute, register, or process through the platform any content that is unlawful, defamatory, obscene, harassing, threatening, or that infringes the intellectual property rights of any third party.

• SYSTEM INTEGRITY

  You must not attempt to gain unauthorised access to any part of the Eveara Music platform, its databases, servers, or networks. Any attempt to probe, scan, or test the vulnerability of the system without express written authorisation is strictly prohibited.

• REPORTING VIOLATIONS

  If you become aware of any misuse of the Eveara Music platform or a potential security vulnerability, you must report it promptly to connect@evearamusic.com. Eveara Music Limited will investigate all reports in good faith.

TERMS AND CONDITIONS

• LICENSE GRANT

  Eveara Music Limited grants a limited, non-exclusive, non-transferable license to use the Eveara Music CMS solely for authorized purposes.

• RESTRICTIONS

  You may not:

  • Modify, reverse engineer, decompile, or disassemble the Software
  • Remove or alter any copyright, trademark, or proprietary notices
  • Distribute, sublicense, rent, lease, or lend the Software
  • Use the Software for any unlawful purpose
• OWNERSHIP

  Eveara Music Limited retains all rights, title, and interest in and to the Software, including all intellectual property rights.

• LIMITATION OF LIABILITY

  IN NO EVENT SHALL EVEARA MUSIC LIMITED BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE.

• WARRANTY DISCLAIMER

  THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

• TERMINATION

  This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term.

• GOVERNING LAW

  This agreement shall be governed by the laws of England and Wales.
